What this skill does

Reads a loan participation or co-lending agreement and tells you, in plain English, who controls the loan, how the money flows and what happens when the loan goes bad or someone wants out. It is written from your side, lead or participant, and flags the terms that could cost you before you sign or before a vote.

What it does

  • Lays out the structure: each party's share, whether everyone is paid equally or one side is paid first, and who funds future advances
  • Builds a decision table covering 17 common decisions, from waiving a late fee to foreclosing, showing who decides and what vote is needed
  • Draws the payment flow: servicing fee, advances, interest, principal and who keeps default interest and extension fees
  • Explains buy-sell, first-refusal, transfer limits, what happens if a participant fails to fund, and how to replace the lead
  • Ranks unusual or one-sided terms High, Medium or Low, each with a plain-English reason and a question for your lawyer
  • Answers your live question first, such as "can the lead extend without us?"

When to use it

  • Before you sign on as a participant or bring in a co-lender
  • The lead wants to extend or modify a loan and you need to know if you get a vote
  • A participated loan is in default and enforcement decisions are coming
  • You want to sell your piece of a participated loan

What to have ready

  • The agreement, with exhibits and amendments (a draft is fine)
  • Whether you are the lead or a participant
  • The basic loan terms, if you want dollar effects shown
  • Any live issue you need answered

How to use it

  1. Download it with the button above. You'll sign in with a work email — that's how the creator knows who is using their skill.
  2. Copy the install prompt from the "Run it in Claude" box, and paste it into Claude along with the file. Claude installs the skill, fills in your firm's details where the file has [BRACKETED] placeholders, and runs a quick test with you.
  3. Then just ask in plain English. Claude picks the skill up on its own when a request matches it. Anything it still needs, it asks you for — it won't invent a number.

"We're a participant in a [LOAN AMOUNT] bridge loan and the lead wants to extend maturity six months. Here's the participation agreement. Do we get a vote, and what else should worry us?"

What you get back

A section-referenced summary: structure, a decision table, the payment flow, default and exit mechanics, ranked issues with questions for counsel, and negotiation points if the deal is unsigned.

Good to know

  • Output quality tracks input quality. A missing figure is flagged as missing — it is never estimated to fill a gap.
  • Every draft is a starting point for your own review, not a finished decision.
  • Runs anywhere Claude does: the Claude app, Claude Desktop, or Claude Code.
  • Every statement cites the section it comes from, silence is reported as silence, and enforceability questions go to your counsel.

Legal disclaimer

This skill drafts; it does not decide. Its output is not legal, tax, accounting, appraisal, or investment advice, and using it creates no attorney-client, fiduciary, or advisory relationship. Nothing it produces is a commitment to lend or an offer to sell a security. Verify every number, date, citation, and conclusion against the source documents, and have a qualified professional licensed in the relevant jurisdiction review the work before you rely on it or send it to a borrower, investor, counterparty, or regulator. Skill name
participation-agreement-summarizer
What it does
Use when a lender, fund manager or capital partner needs to understand a loan participation, co-lending, intercreditor-style or A/B note agreement — before signing it, before a vote, or when a participated loan goes bad. Trigger on "summarize this participation agreement," "what are our rights as participant," "can the lead extend without us," "who controls enforcement," "is this pari passu," "senior/junior split," "what's the buy-sell," "co-lending agreement review," "we're buying a participation," "the lead wants to modify the loan," or when a participation or co-lender agreement is attached. Produces a term-by-term summary from both the lead's and the participant's side, a decision-rights matrix, the default and buy-out mechanics, the money flow, and a ranked list of unusual or one-sided terms with questions for counsel. Summary only.

Participation Agreement Summarizer

Participations let a lender take a bigger loan than it could hold alone and let capital partners buy into loans they did not originate. The trouble starts when the loan does: the participant discovers the lead can extend maturity without asking, or the lead discovers it needs a unanimous vote to start foreclosure and one participant has gone quiet. This skill reads the agreement the way both sides will read it in a dispute and lays out who decides what, who gets paid first, and what happens when someone wants out.

Works for loan participation agreements, co-lending and co-lender agreements, A/B and senior/junior participations, and the participation sections of fund or joint-venture documents. It covers the relationship between lenders; for the borrower-facing loan documents use loan-doc-reviewer, and for a mezzanine intercreditor with a separate borrower, treat this as a starting point only.

Step 1 — Intake

InputRequired?Notes
The agreement✅Full executed copy with all exhibits and amendments. A term sheet or draft works, labelled as such
Our role✅Lead (originator / servicer) or participant — the summary is written from this side, with the other side's view alongside
The underlying loan termsHelpfulLoan amount, rate, maturity, extension options, collateral — lets the summary show dollar effects
Participation certificates or schedulesHelpfulEach party's amount and percentage, and any different rates or fee strips
A live issueOptional"Borrower wants a 6-month extension," "loan is 90 days late," "we want to sell our piece" — the summary then answers that question first
Related documentsOptionalServicing agreement, fund documents, custodial agreement — anything the participation agreement refers to

Minimum viable: the agreement and our role. If exhibits or amendments are referenced but not provided, list them as [NOT PROVIDED — REFERENCED IN SECTION X] and note which conclusions depend on them.

Step 2 — Map the structure

Answer these first, each with the section reference.
