What this skill does
Builds the Form D and state blue sky filing plan for a private mortgage fund offering — the federal deadline, which states you owe a notice filing in, what each one costs, what triggers an amendment, and when every renewal comes due.
What it does
- Works out the federal exemption position and the date of first sale that starts the clock
- Determines nexus state by state from where your investors actually are
- Builds a filing matrix: state, trigger date, deadline, fee, method, status, owner
- Produces a calendar covering the federal amendment anniversary and every state renewal
- Logs the exceptions — anywhere nexus is uncertain or a deadline has already passed — and flags them for counsel
When to use it
- A new fund offering is about to take its first investor dollar
- An existing fund is admitting investors in a state it has not filed in before
- Annual renewal season for state notice filings
- You are converting an offering between Rule 506(b) and 506(c)
- Diligence: reconstructing whether past filings were made correctly
What to have ready
- Offering basics — fund name, security type, aggregate amount, minimum investment, and whether the offering is one-time or continuous
- Which federal exemption the offering relies on
- The date of first sale — the earlier of first funds received or first irrevocable commitment
- Investor geography: state of residence for individuals, principal place of business for entities
How to use it
- Download it with the button above. You'll sign in with a work email — that's how the creator knows who is using their skill.
- Copy the install prompt from the "Run it in Claude" box, and paste it into Claude along with the file. Claude installs the skill, fills in your firm's details where the file has
[BRACKETED]placeholders, and runs a quick test with you. - Then just ask in plain English. Claude picks the skill up on its own when a request matches it. Anything it still needs, it asks you for — it won't invent a number.
"Build the Form D and blue sky plan for our evergreen mortgage fund. First sale was March 3; investors are in TX, CA, and AZ."
What you get back
A filing plan memo with the exemption and nexus reasoning, a state filing matrix, a renewal calendar, and an exception log for counsel.
Good to know
- Output quality tracks input quality. A missing figure is flagged as missing — it is never estimated to fill a gap.
- Every draft is a starting point for your own review, not a finished decision.
- Runs anywhere Claude does: the Claude app, Claude Desktop, or Claude Code.

Form D & Blue Sky Filing Tracker
Missed state notice filings are one of the most common sources of post-closing exposure for a private fund, because they can create rescission rights — an investor's right to demand their money back — that surface years later in a dispute. This skill produces the filing plan that prevents the gap.
When to use
- A new fund offering is about to take its first investor dollar
- An existing fund is admitting investors in a state it has not filed in before
- Annual renewal season for state notice filings
- Converting an offering from Rule 506(b) to 506(c), or the reverse
- Diligence: reconstructing whether past filings were made correctly
Inputs to gather
- Offering basics — fund name, security type (LLC units / LP interests), aggregate offering amount, minimum investment, and whether the offering is one-time or continuous
- Federal exemption relied on — Rule 506(b), 506(c), 504, or Section 4(a)(2) [VERIFY with counsel; the choice drives everything downstream]
- Date of first sale — the earlier of when the fund first received investment funds or an investor first became irrevocably committed. This starts the federal clock.
- Investor geography — state of residence for individuals, principal place of business for entities, plus every state where the offering was offered even if no sale resulted
- Intermediaries — any broker-dealer, placement agent or finder, and their state registration status
- Prior filings — existing Form D accession number, prior state filings, and renewal dates
Workflow
- Confirm the federal exemption and its consequences
- 506(b): no general solicitation; up to 35 non-accredited sophisticated investors
