Entity Document Reviewer

Checks the borrowing LLC's paperwork and whether the person signing can actually sign

Free · v1.0.0

Install it in one line — paste a single command into Claude, ChatGPT or Cursor and it writes the skill into your project.

Free, and about thirty seconds: a work email and a six-digit code.

Screened

Downloading shares your name, firm, role, and email with The Helvetica Group. That introduction is what keeps every skill here free.

What this skill does

Reviews the borrowing company's documents before closing. Confirms the company exists and is in good standing, that its name matches everywhere, who owns it, and whether the person signing the loan documents is actually authorized — then lists every missing document for your needs list.

What it does

  • Checks the formation documents, good-standing certificate and registration in the property's state
  • Compares the company's exact legal name across the contract, title, insurance, tax ID letter and application
  • Builds an ownership chart tier by tier, and shows which owners should be guarantors under your rules
  • Reads the operating agreement for who can sign and what consents are needed to borrow against real estate
  • Walks the signing chain when the manager is itself another company, and writes the signature block as it should read
  • Gives a signer-authority conclusion for your counsel to confirm, and drafts one request for everything missing

When to use it

  • Entity documents arrive on any loan to an LLC, corporation, partnership or trust
  • The company was formed in a different state from the property
  • The manager or a member is another company
  • Before closing documents are drawn

What to have ready

  • Formation documents and the signed operating agreement or bylaws, with amendments
  • The good-standing certificate
  • The property's state and the loan type
  • Who is signing and who is guaranteeing

How to use it

  1. Download it with the button above. You'll sign in with a work email — that's how the creator knows who is using their skill.
  2. Copy the install prompt from the "Run it in Claude" box, and paste it into Claude along with the file. Claude installs the skill, fills in your firm's details where the file has [BRACKETED] placeholders, and runs a quick test with you.
  3. Then just ask in plain English. Claude picks the skill up on its own when a request matches it. Anything it still needs, it asks you for — it won't invent a number.

"Here are the LLC docs for [BORROWER NAME] on the [CITY] purchase. [SIGNER NAME] will sign as manager. Is that right, and what are we missing?"

What you get back

A signer-authority conclusion, a document checklist, a name-consistency table, the ownership chart, the signing chain, findings with actions, names to screen against sanctions lists, a missing-documents list, and a draft request to the borrower.

Good to know

  • Output quality tracks input quality. A missing figure is flagged as missing — it is never estimated to fill a gap.
  • Every draft is a starting point for your own review, not a finished decision.
  • Runs anywhere Claude does: the Claude app, Claude Desktop, or Claude Code.
  • Every authority conclusion is marked for your counsel to confirm, unsigned documents are treated as missing, and the request to the borrower is a draft for you to send.

Legal disclaimer

This skill drafts; it does not decide. Its output is not legal, tax, accounting, appraisal, or investment advice, and using it creates no attorney-client, fiduciary, or advisory relationship. Nothing it produces is a commitment to lend or an offer to sell a security. Verify every number, date, citation, and conclusion against the source documents, and have a qualified professional licensed in the relevant jurisdiction review the work before you rely on it or send it to a borrower, investor, counterparty, or regulator. Laws, rates, and market data change. The final work product is yours.

Skill name
entity-document-reviewer
What it does
Use when a lender, processor, closer, or broker needs to review the borrowing entity's documents before closing. Trigger on "review the entity docs," "is the signer authorized," "check the operating agreement," "who can sign for the LLC," "do we need a member consent," "the good standing is stale," "the name on the contract doesn't match the articles," "what entity docs are we missing," "the manager is another LLC," or when articles, an operating agreement, EIN letter, good-standing certificate, resolution, or trust certification is dropped on a bridge, fix-and-flip, DSCR, construction, or commercial file. Checks existence, standing, foreign registration, name consistency, ownership and the chain of signing authority; returns a signer-authority conclusion for counsel to confirm, an ownership chart, and a missing-documents list. Not a legal opinion.
What you give it
[entity documents] [loan type and property state] [proposed signers and guarantors]

Entity Document Reviewer

Most private loans are made to an LLC, and the entity file is where closings stall at the last minute: the operating agreement is unsigned, the manager is a second LLC nobody collected documents for, the good-standing certificate is from last spring, the name on the purchase contract is missing an "s," or the person signing owns 10% and the agreement requires every member to approve a loan. This skill reviews the entity package the way a careful closer does, builds the ownership and authority chain, and states — for counsel to confirm — whether the proposed signer appears authorized.

Works for LLCs, corporations, limited partnerships and trusts borrowing on any private loan type, including multi-tier structures.

Step 1 — Intake

InputRequired?Notes
Formation document✅Articles of organization / certificate of formation (LLC), articles of incorporation (corporation), certificate of limited partnership (LP)
Governing agreement✅Operating agreement, bylaws, or partnership agreement — signed, with all amendments
Good-standing certificate✅From the formation state; many states call it a certificate of existence or status
Property state and loan type✅Drives foreign registration and which consents are needed
Proposed signer(s) and guarantors✅Name and title each will sign under
EIN documentationHelpfulIRS assignment notice (commonly the CP 575) or an EIN verification letter (147C)
Foreign registrationHelpfulIf the entity was formed outside the property state
Resolution or consent to borrowHelpfulOften drafted by lender's counsel at closing; review any existing one
Ownership certificationHelpfulThe lender's beneficial-ownership or KYC form
Documents for every entity up the chainIf multi-tierA manager or member that is itself an entity needs its own set
Lender's entity requirementsHelpfulGood-standing age, guarantor ownership threshold, SPE requirements. If none, use labelled defaults

Minimum viable: formation document, governing agreement, and the proposed signer. Everything else missing goes on the missing-documents list.
